1. License Grant
Vector Network Solutions LLC (“Licensor”) grants the purchaser (“Licensee”) a non-exclusive, non-transferable, non-sublicensable license to install and use any purchased VNS extension or software (“Software”) on:
- One (1) production Magento installation, and
- One (1) non-production installation (staging, development, or testing)
Each additional production installation requires the purchase of an additional license.
2. Ownership
The Software is licensed, not sold.
Licensor retains all rights, title, and interest in and to the Software, including all source code, documentation, branding, trademarks, and intellectual property. Licensee receives no ownership rights.
3. Permitted Use
Licensee may:
- Install and use the Software according to Section 1
- Modify the Software solely for use within their own licensed environment
- Make backups for internal use only
Licensee may not:
- Distribute, sublicense, resell, rent, loan, or make the Software available to any third party.
- Publish or share the Software, source code, or modified versions in any public or private repository.
- Use the Software on additional installations without purchasing additional licenses.
- Reverse engineer, decompile, or attempt to access the underlying source code except where required by law.
- Create derivative works for distribution or sale.
Any unauthorized use results in immediate termination (see Section 9).
4. Updates
Licensor provides lifetime updates for each purchased Software product for as long as that product is actively maintained by Licensor.
Licensor may discontinue maintenance or updates for any Software product at its discretion.
5. Support
This license does not include support services.
Support may be offered separately as a paid service plan.
Licensor reserves the right to define and revise support policies at any time.
6. No Warranty – “AS IS”
All Software provided by Licensor is supplied “AS IS”, without warranties of any kind, express or implied, including but not limited to:
- merchantability
- fitness for a particular purpose
- compatibility
- non-infringement
- error-free or uninterrupted operation
Licensee assumes full responsibility for the installation, configuration, and operation of the Software.
7. No Guarantees
Licensor does not guarantee that:
- the Software will meet Licensee’s requirements
- the Software will operate without interruption or error
- the Software will remain compatible with future Magento releases
- specific features or functionality will remain available
8. Refund Policy
All sales are final. No refunds are provided for any reason.
This includes, but is not limited to:
- compatibility issues
- conflicts with other extensions
- server configuration issues
- changes to Licensee’s environment
- discontinued use by Licensee
9. Termination
This license terminates automatically if Licensee:
- violates any term of this EULA
- distributes or shares the Software
- uses the Software beyond the purchased installation limits
- attempts to reverse engineer or derive the source code
Upon termination, Licensee must permanently delete all copies of the Software.
No refund will be issued.
10. Limitation of Liability
To the maximum extent allowed by law:
- Licensor is not liable for any direct, indirect, incidental, or consequential damages, including but not limited to lost profits, downtime, business interruption, or data loss.
- Licensor’s total liability shall not exceed the amount paid for the Software in question.
11. Governing Law
This EULA is governed by the laws of the State of Idaho, without regard to conflict-of-law rules.
12. Acceptance
By installing, downloading, or using any Software provided by Licensor, Licensee agrees to be bound by the terms of this EULA.
If Licensee does not agree, they must not install or use the Software.
